Envato’s Affiliate Program Terms

About us and these terms

1. Welcome: Welcome to the Envato Affiliate Program (Affiliate Program)! These terms set out the rules that apply to the Affiliate Program (we’ll call these the Affiliate Terms). Please make sure you read these terms carefully as they detail your responsibilities as an Envato Affiliate, how the Affiliate Program works and the process of earning referral income.

2. Applicable Terms: You acknowledge and agree that the following terms apply and form part of your entire agreement with Envato in respect of your participation in the Affiliate Program:

   a. these Affiliate Terms;

   b. Envato’s Acceptable Use Policy;

   c. the Master Campaign Agreement between you and us as agreed on the platform operated by our third party provider, Impact (“Impact”/”Impact Platform”);

   d. applicable Offer terms that govern your acceptance and participation in an Offer (as described in section 8); and

   e. any other applicable terms and conditions within the Impact platform, including payment settings, and the Impact Terms of Use, which govern the platform services and your use and access to those services (applicable terms being the “Platform Terms”).

3. Definitions: When we say ‘you’ in these Affiliate Terms we are referring to you, the Envato Affiliate. When we refer to the ‘website’ we’re talking about the Envato websites. When we say ‘we’, ‘us’ or ‘Envato’ it’s because that’s who we are and we own and run the websites.
4. Your privacy: For information on how we handle any personal information you provide to us as part of your participation in the Affiliate Program, please see our Privacy Policy. By participating in our Affiliate Program, you consent to our collection, use and disclosure of personal data and other data as outlined therein.

Becoming an Affiliate

5. Application: To become an Envato Affiliate, you must first apply to join the Affiliate Program via the Impact Platform and agree to the applicable terms and conditions as described in Section 2.

6. Assessment: We will assess your application, and accept or reject your application at our sole discretion, for any reason based on reasonable grounds. We may ask for additional information in support of your application. Assessment criteria will be determined by us from time to time, and may include (but not limited to):

   a. the information provided by you in your application being verifiable and true;

   b. you being able to demonstrate ownership or rights to your affiliate website;

   c. the quality of your affiliate website; and

   d. our assessment of whether your website complies with these Affiliate Program Terms (or any other terms that apply to the Affiliate Program from time to time).

Our decision to accept you into the Affiliate Program as an Envato Affiliate is final.

7. Acceptance: If you are accepted as an Envato Affiliate, you will receive access to your Affiliate account on Impact, which will allow you to access from Envato and manage your Affiliate earnings and payments.

How the Affiliate Program works

8. Affiliate Program Offer: As an Envato Affiliate, you have the option of participating in various offers from Envato (each being an Offer), which are made available to you in the Impact Platform. Each Offer will set out specific terms and details, including the type of ad or promotion, what constitutes a successful referral, and the percentage commission to be earned. Any specific terms and details of an Offer (Offer Terms) are incorporated into these Affiliate Terms by reference.

Offers can vary from time to time so make sure you consider each of the Offer Terms from within the Impact Platform.

9. Referral links and code: Each Offer you choose to participate in has a unique referral link that can be generated via your Impact account. Simply paste the link provided or an approved Affiliate Program ad on your website, and if the terms of the Offer are met, you may earn Affiliate Program referral earnings.
10. Changes to the Affiliate Program: We may change, suspend or discontinue any aspect of the Offer Terms or the Affiliate Program. We may also remove or modify any approved tags, text, or graphics for the Affiliate Program. Where possible, we will give you reasonable prior notice of these changes. You agree to promptly implement any request from us to remove or modify any link, graphic or banner ad that is being used by you as part of the Affiliate Program.

11. Referral earnings: The earnings you will receive for successfully meeting the Offer Terms are detailed on each Offer Terms page. Prices and fees are exclusive of transactional taxes where relevant (like VAT and GST).

    a. Referral earning details (and the way in which they are calculated) and other performance data will be described in applicable Offer Terms or under your Impact account.

    b. You are responsible for paying all other fees and taxes associated with your referral earnings.

    c. Envato does not in any way guarantee referral earnings (or any other earnings) through participation in the Affiliate Program and, to avoid doubt, your participation in the Affiliate Program may be terminated by us at any time (in accordance with clause 33).

    d. Commission is not paid for self-referrals (that is, where the affiliate and buyer are the same person). Referrals from fraudulent activity (including self-referral) may show up in your account but will be deducted from your final monthly referral earnings.

12. Cookies: We use cookies and other similar technologies to track people who have clicked on your link and it is important you understand your responsibilities and how these cookies work:

    a. It is your responsibility to ensure, and you represent and warrant that you have, provided all disclosures and obtained all necessary rights, consents and permissions to drop relevant cookies to allow required tracking, using or sharing of any relevant person’s data;

    b. If a person doesn’t allow cookies or clears their cookies, then we may not be able to track them and in these circumstances, we are not liable to pay referral earnings on that person’s activity.

    c. If a person clicks on your referral link and then later they click on someone else’s, it is the first link they clicked on that counts (that is, we have a first-click attribution policy). Multiple Envato Affiliates will not be paid in respect of the same sale or transaction. You agree that if there is a dispute about payment, the sole determination of Envato will be final and binding.

    d. The applicable cookie period will be described in the terms of the applicable Offer, or generally as follows:

      i. for Envato Market, if a person clicks your link, they have 90 days before the cookie expires; and

      ii. for Envato Elements and Envato Placeit, if a person clicks your link, they have 60 days before the cookie expires.

The terms of any Offer Terms must be met within that cookie period. After the expiry of the period no referral earnings apply.

How do payments of referral income work

These sections explain how earning an income through our Affiliate Program works and important information about payments to your account. Take a close look!

13. Separate Earnings: Your Affiliate Program referral earnings (your “Earnings”) are separate to any other payments you may be eligible to receive from Envato as a buyer or author.
14. Payments via Impact: Your Earnings will be paid in accordance with the Platform Terms. All payments you are entitled to will be listed in your Impact account and paid to you via the payment options provided by Impact.
15. Expenses: You may bear some or all expenses incurred by us in paying monies to you via our third party provider.
16. Payment: Payment is managed through the Impact Platform. Before you can be paid, you will need to ensure you submit any necessary tax documents and payout information as detailed within the platform.
17. Payment errors: If there are errors with your nominated payment details, including if:
    1. we or Impact do not have the correct payment details;
    2. we or Impact can’t contact you using the contact details that you have supplied; or
    3. you are asking for payment to be made to a person, institution or country that we’re prohibited from making payments to at law or where there are limitations in the banking systems, Impact will be unable to make payment of your referral earnings. In these cases, you won’t be paid until the applicable payments issue is fixed. If you have any questions on payment mechanics, you can contact Impact directly at support@impact.com
18. Currency conversions: Payments will be made in your nominated currency via the Impact Platform. We have no responsibility for currency conversion.
19. Refunds and reversals: If a transaction on an Envato website relating to your Earnings is subject to a refund or reversal by a payment provider or by us, then the transaction is considered unsuccessful and you must return the funds to us via the Impact Platform.
20. Fraud: If we have reason to believe your Affiliate Program account is being used to conduct fraudulent transactions or is in any way associated with fraudulent activity we may reject payment, terminate your account, and/or require you to return the funds to us via the Impact Platform.
21. Tax information: From time to time, we may request or collect information or documentation from you that may be used for tax purposes, including location information for tax residency purposes. Tax rates are calculated based on this information and the applicable tax rate at the relevant time. Any information you provide must be accurate, complete and kept up-to-date. If you do not provide or update any required information or documentation, we may withhold payments to you.
22. Your responsibility for taxes: You are responsible for collecting and paying all taxes associated with your use and participation in the Affiliate Program, including GST, VAT, sales tax or other taxes that may apply to Affiliate Program referral earnings. Your responsibility includes any transaction taxes and withholding taxes, except to the extent we collect and remit that tax in accordance with sections 23.
23. Withholding taxes: We may deduct or withhold from any amount payable to you under these Affiliate Terms, including your earnings, an amount sufficient to satisfy any taxes (including withholding taxes) which we are required to withhold under applicable law. The rate of withholding taxes will depend on the jurisdiction where you are located and whether or not an applicable tax treaty exists. If so, we will give you relevant documentation that’s required by law about the deduction or withholding (like documentation allowing you to access rebates, or to manage your tax affairs).

Your Responsibilities and Warranties

24. Your responsibilities: You are solely responsible for:

    a. the services, message, content, information, software or other materials you send and use under the Affiliate Program, including to third parties; and

    b. your use of the Impact platform and compliance with its term.

25. Acceptable Use Policy: Use of and participation in the Affiliate Program is subject to our Acceptable Use Policy. Envato has the right to review each and every referral, and the right to remove any Envato Affiliate from the Affiliate Program at our discretion, if we consider there has been breach of this policy.

26. Things You Can’t Do: As an Envato Affiliate, in addition to compliance with our Acceptable Use Policy, you must not do any of these things:

    a. Anything that might be confusing, misleading or deceptive to users. This includes (but isn’t limited to) doing anything that may confuse users (or potentially confuse them) about whether your website is operated or endorsed by Envato (for example, by copying design elements from our website).

    b. Use Envato’s brands, trademarks and any other intellectual property (being Envato Intellectual Property as defined at section 27), other than through approved Affiliate Program ads we make available via your Impact account.

    c. Use a domain name, search engine keyword or pay-per-click advertising that use any Envato trademarks or variations and misspellings.

    d. Bid on, purchase, acquire or register search engine keywords, domain names, or other identifying search terms or titles that are the same or similar to intellectual property (including misspellings) owned or controlled by Envato or any of the Group Companies (being Envato Intellectual Property), or by any third party (including members of the Envato community), to promote your participation in the Affiliate Program - except with express consent from the relevant person. Affiliates are not allowed to outrank or outbid the Envato on any relevant Envato ad keywords.

    e. In an effort to increase traffic to Envato businesses, send unsolicited email or other messaging that in any way may constitute spam.

    f. Anything that would amount to a breach of any laws including, but not limited to, privacy, intellectual property and spam laws.

    g. Participate in, or give effect to any form of cookie stuffing.

    h. Any form of domain forwarding (ie, use a domain and set it to automatically forward to an Envato site using your affiliate link).

    i. Make any representations on behalf of Envato.

    j. Anything that is directly or indirectly in contravention of these Affiliate Terms or any direction given to you by us.

    k. Engage in any conduct that does not meet our standards of ‘fair play’ at our discretion including things like attempted, apparent or actual fraud, generating non-genuine transactions, creating non-genuine users, confusing users, or providing a link that might mislead users.

    l. Engaging in any conduct that is derogatory to or critical of Envato or any Affiliate, or of any of its products and services.

    m. Provide us with any information that is not true, accurate or complete.

    n. Disclose your password or username to anyone. If you realise there’s any unauthorized use of your password or any breach of security you need to let us know immediately.

    o. Affiliates are not permitted to directly link PPC activity to Envato’s sites from search engines (Google, Yahoo, Bing or any others), this includes using Envato’s sites as a display URL.

27. Intellectual Property: All rights, title and interest (including all intellectual property rights) in and to the Envato services, websites and platforms, the tools, and any other content made available by Envato, including all information, software, APIs, products, text, design, compilation, “look and feel”, logos, trademarks, trade names, graphics, artwork, marketing and advertising materials and other materials and intellectual property (both registered and unregistered) (Envato Intellectual Property) are owned and/or controlled by the Group Companies. You will not copy, distribute, modify or make derivative works of any of the Envato websites, content or other materials, or otherwise use or distribute any of the Envato Intellectual Property in any way not expressly stated in these Affiliate Terms, Platform Terms, or applicable Offer Terms.

28. Your representations and warranties to us: You represent, warrant and covenant to us that:

    a. you are 18 years of age or over;

    b. you will comply with all applicable terms and policies, and follow any all reasonable directions provided by us, act in good faith, and provide assistance and co-operation as we reasonably request;

    c. you will not use any Envato Intellectual Property, including any trademark or trade name, without our prior written consent or as expressly permitted under these Affiliate Terms;

    d. the information you provide us (including your name, address, email address, phone number and, if applicable, government issued ID document and tax and business registration details), is accurate, complete and up-to-date; and

    e. comply with any privacy and spam law requirements that apply to you.

29. Sanctions compliance: We are subject to trade and economic sanctions and laws and regulations that govern the use of our services. By participating in the Affiliate Program, you agree to comply with all trade or economic sanctions, export and import laws and regulations and warrant that you are not located in a sanctioned country and are not on a sanctioned persons list. The Affiliate Program is not available to anyone located in any U.S. sanctioned countries (or otherwise identified here) or to anyone on the U.S Treasury Department’s list of Specially Designated Nationals List (SDN list).

Our use of your information

30. Confidential information: We employ a number of technical, organizational and physical safeguards designed to protect your personal and confidential information. However, no security measures are failsafe and we cannot guarantee the security of your information. We will have no liability to you for any unauthorized access or use of any of your information, or any corruption, deletion, destruction or loss of any of your information and you remain responsible for the content and information you upload or share with Envato (including as Input). While participating in the Affiliate Program, you may also become aware of confidential or personal information about us or other users. You promise to not disclose any confidential or personal information made available to you through Envato to any other person.
31. License to use data: By participating in the Affiliate Program, you acknowledge that Envato and its Group Companies may collect, use and analyse data relating to your participation in and use of the Affiliate Program, including referral activity, traffic, clicks, conversions, transaction data and other performance information. Envato and its Group Companies may use this data to administer, operate, analyse, improve and protect the Affiliate Program and Envato's products and services, measure and attribute referrals and commissions, prevent fraud and abuse, and for other legitimate business purposes, in accordance with applicable law and Envato's Privacy Policy.

Termination

32. Term: These Affiliate Terms start from the date of our approval of your application and will continue until terminated.

33. Suspension or termination: We hope that you will be with us for a long time. But we may, using our reasonable discretion, decide whether or not your activities as an Envato Affiliate comply with these Affiliate Terms (including those terms detailed at Section 2). We may suspend any Offers or terminate your participation as an Envato Affiliate at any time for any reason (acting reasonably), with or without prior notice to you, including:

    a. if you breach these Affiliate Terms or any other applicable terms or policies;

    b. if we believe any information or documents provided by you are inaccurate, incomplete, or not up-to-date;

    c. if you breach any applicable laws, rules or regulations;

    d. if you act in a way that does not align with Envato’s values including:

      i. engaging in serious or illegal misconduct (such as criminal or fraudulent activities); or

      ii. infringing the intellectual property rights of others.

    e. if you act in a way that could cause harm to any Group Company or any user of a site operated by a Group Company, including:

      i. any public conduct or activity (such as public communications) that would adversely affect the reputation of any Group Company; and/or

      ii. any threats of harm or damage to any user of any product or service of a Group Company;

    f. if we reasonably believe there is a risk associated with you, your account, or that payment, including if it breaches a law or regulation. Examples of where we might do this include transactions where the payment is from or to a person or country sanctioned by an authority (like the United Nations, the United States government or the Australian government); or where we reasonably believe there is a legal or regulatory risk or a risk of loss being suffered by us or our members; or

    g. if we can’t make payments to or from your nominated country. We may take any of the actions stated in this section without notice. If required by law we may forfeit referral earnings.

If your Affiliate account is disabled or suspended for a breach of these Affiliate Terms (including in any manner set out under this Section), we may, acting reasonably, withhold your Affiliate Program referral earnings, until you have rectified any such breach and your suspension is lifted.

34. Termination by you: You may terminate your participation in one or more Offer or the Affiliate Program at any time by removing the relevant affiliate links.
35. Post-Termination: On termination of your participation in the Affiliate Program, you must promptly stop making any claims of affiliation or association with Envato and must cease using, delete, relevant links and any Envato Intellectual Property, including all marketing and promotional assets.
36. Your use of other services: You must comply with the requirements of any third party services you use in connection with the Affiliate Program, like email providers, social networking services and ad networks as long as doing so does not cause you to violate the terms of our affiliate program or the Impact Platform.

42. Relationship between the parties: Nothing in these Affiliate Terms is to be construed as constituting a partnership, joint venture, employment or agency relationship between you and any Group Company , or between you and any other user or Envato affiliate. You cannot act on behalf of or bind a Group Company or any other user or Envato affiliate in any way.
43. Use of Group Company services: We may use the services of another Group Company for any purpose in relation to the Affiliate Program, for example, payment of referral earnings..
44. Group Companies: If an indemnity, limitation or disclaimer of liability, promise or release (a ‘benefit‘) is given in our favour in these Affiliate Terms or the Platform Terms we hold that benefit on trust for the other Group Companies. We may enforce that benefit as trustee for and on behalf of the other Group Companies as beneficiaries under that trust.
45. Changes to these terms: We may change these Affiliate Program Terms at any time. We will post the current version of the Affiliate Program Terms on our website and will update the “Last revised” date at the top of the terms. We will provide you with reasonable prior notice of any changes to the Affiliate Program Terms that materially adversely affect participation as an Envato Affiliate, before they take effect. We may provide you this notice via our website and/or by email to the email address associated with your Affiliate account. You can also keep track of whether changes have been made by referring to the version and last revised date of the Affiliate Terms. By continuing to participate as an Affiliate after the effective date of the changes, you agree to be bound by the updated AffiliateTerms. If you do not agree with the changes, you may terminate your agreement with Envato as an Envato Affiliate.
46. Assignment: You may not transfer or assign these Affiliate Terms or any of your rights or obligations under these Affiliate Terms without Envato’s prior written consent. Envato may transfer or assign any of its rights and obligations under these Affiliate Terms, in whole or in part, at any time with or without notice.
47. Entire agreement: These Affiliate Terms constitute the entire agreement between you and Envato with respect to the Affiliate Program. These Affiliate Terms supersede any prior representations, agreements, or understandings between you and Envato, whether written or oral, with respect to the Affiliate Program including previous versions of the Affiliate Terms. The English version of these Affiliate Terms will control.
48. Severability: If any individual term of these Affiliate Terms is found to be invalid or unenforceable, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining parts of such individual term, or any other part of these Affiliate Terms, so that these Affiliate Terms shall otherwise remain in full force and effect.
49. Waiver: Envato’s express waiver or failure to enforce any provision of these Affiliate Terms shall in no way be construed to be a present or future waiver of such provision nor affect Envato’s ability to enforce any provision thereafter.
50. Governing law: These Affiliate Terms are governed by and shall be construed in accordance with the laws of the State of New York, without regard to any conflict of laws principles.

Definitions

Affiliate Program: The affiliate program conducted by Envato in respect of the Envato websites.

Envato, we, us or our: Shutterstock, Inc. (Envato may also be referenced as the ‘Advertiser’ in the Impact Platform and Platform Terms).

Envato Affiliate: An affiliate that has been approved by us to take part in the Envato Affiliate Program. (An Envato Affiliate may also be known as a ‘Partner’ in the Impact Platform and Platform Terms).

Group Companies: Envato and any company that controls, is controlled by or is under common control with Envato. References to a Group Company include any successors (whether by merger, purchase or otherwise) and permitted assigns.

Envato websites: When we refer to the ‘Envato websites’ or our websites we’re talking about the Envato digital marketplaces and other websites we run, including Envato Elements which offers a subscription service, and also includes these websites:
